These Terms of Service (“Terms”) form a binding agreement between you and ShopWise Media Inc. (“ShopWise,” “we,” “us”) governing your use of our website and services.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country) to use ShopWise. By using the site you represent that you meet this requirement and that you have the legal capacity to enter into this agreement.

2. Our content

All content on ShopWise — including articles, reviews, images, graphics, video, code, and the ShopWise brand — is owned by ShopWise Media Inc. or licensed to us, and is protected by U.S. and international copyright, trademark, and other intellectual-property laws.

You may:

• View, download, and print content for personal, non-commercial use.
• Share links to our articles on social media and in personal communications.
• Quote up to 100 words from an article with attribution and a link to the original.

You may not:

• Republish or redistribute our content commercially without prior written permission.
• Use our content to train machine-learning models without a written license.
• Remove copyright, credit, or trademark notices from any content.
• Scrape, mirror, or bulk-download the site.

3. User conduct

When using ShopWise you agree not to:

• Violate any law or regulation.
• Infringe anyone’s intellectual property or privacy rights.
• Submit false, misleading, harassing, threatening, or defamatory content.
• Upload malware or attempt to disrupt the service.
• Attempt to gain unauthorized access to our systems.
• Use automated means (bots, scrapers) to access the site outside the bounds of our robots.txt.
• Impersonate ShopWise or another person.

4. User-submitted content

If you submit content through our contact form, newsletter reply, or any other channel, you grant us a worldwide, royalty-free, non-exclusive license to use that content for the limited purposes of operating and improving ShopWise (including responding to you and, in the case of testimonials, potentially publishing them with your permission). You represent that you have the right to submit the content and that it does not infringe any third-party rights.

5. Third-party links and services

ShopWise contains links to third-party websites, products, and services (including affiliate links). We do not control these third parties and are not responsible for their content, availability, privacy practices, or products. Your use of a third-party service is governed by that party’s own terms and policies.

6. Product reviews and recommendations

Our reviews reflect the good-faith opinions of our editorial team based on testing and research at the time of publication. Product availability, pricing, features, and quality can change without notice. We are not the seller or manufacturer of any product we review, and we make no warranty about products beyond what the manufacturer or seller provides.

7. Disclaimers

SHOPWISE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SHOPWISE MEDIA INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF SHOPWISE.

Our aggregate liability for any claim arising out of or relating to these Terms or the site will not exceed one hundred U.S. dollars (US$100).

9. Indemnification

You agree to defend, indemnify, and hold harmless ShopWise Media Inc. and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the site or your breach of these Terms.

10. DMCA notices

If you believe content on ShopWise infringes your copyright, please send a DMCA notice to our designated agent at [email protected] including: (a) your electronic or physical signature, (b) identification of the copyrighted work, (c) the location of the allegedly infringing material on our site, (d) your contact information, (e) a statement of good-faith belief that the use is unauthorized, and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act.

11. Termination

We may suspend or terminate your access to ShopWise at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful. Sections 2, 5–12 survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or your use of ShopWise will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there.

13. Changes

We may update these Terms from time to time. Material changes will be reflected in the “Last updated” date above; continued use of the site after the effective date constitutes acceptance.
